DuoLim Terms & Conditions
These Terms & Conditions ("Terms") apply to website design, development, hosting, maintenance, support and related services provided by DuoLim ("DuoLim", "we", "us" or "our") to the customer ("Client", "you" or "your").
By accepting a DuoLim quotation, agreeing to these Terms, or making payment for our services, you agree to be bound by these Terms.
Where applicable, the specific quotation, order confirmation or payment page provided to you forms part of the agreement between you and DuoLim.
1. Our Services
DuoLim provides website design and development services together with ongoing website hosting, maintenance and support through monthly Care Plans.
The exact services provided to you will depend on:
- your agreed website quotation;
- your selected Care Plan;
- any optional add-ons;
- any additional services agreed separately in writing.
The initial website build and the ongoing Care Plan are separate parts of the service.
Every DuoLim website project requires an active monthly Care Plan unless otherwise expressly agreed in writing.
2. Website Build
2.1 Website quotation
The price of the initial website build is determined individually for each project.
Your quotation may take into account factors including:
- number of pages;
- website complexity;
- required functionality;
- integrations;
- custom features;
- content requirements; and
- other project-specific requirements.
The quotation will specify the agreed upfront website build price and, where appropriate, the expected scope of the project.
A quotation is valid for the period stated on the quotation. If no period is stated, DuoLim may withdraw or amend the quotation before it is accepted.
2.2 Payment for the website build
Unless otherwise agreed in writing:
- 50% of the agreed website build price is payable before work begins.
- The remaining 50% of the website build price, together with the first month's Care Plan fee and any agreed optional add-ons, is payable before the website goes live.
DuoLim is not required to launch or make the completed website publicly accessible until the required final payment has been received.
2.3 Project commencement
DuoLim will generally begin work once:
- the quotation has been accepted;
- the required initial payment has been received; and
- the Client has provided the information and materials reasonably required to begin the project.
Delays in receiving information, content, approvals or other materials from the Client may affect the project timeline.
2.4 Scope of the website build
The website build includes the features, pages and functionality specifically agreed in the quotation.
Requests made after the quotation has been agreed that materially change the agreed scope may be treated as additional work and charged separately.
This can include, for example:
- additional pages;
- significant design changes;
- new functionality;
- new integrations;
- additional forms or systems;
- substantial changes to previously approved work; or
- other development work outside the agreed scope.
DuoLim will confirm the estimated additional cost with the Client before carrying out chargeable additional work.
3. Website Approval and Launch
DuoLim will provide the Client with an opportunity to review the website before launch.
The Client is responsible for reviewing the website and notifying DuoLim of any reasonable corrections required within the agreed project scope.
Once the Client has approved the website, or has confirmed that it is ready to launch, DuoLim may proceed with launch once all required payments have been received.
The website will not normally be launched until:
- the website build has been completed;
- the Client has provided the necessary approval;
- the final 50% of the website build fee has been paid;
- the first Care Plan payment has been paid; and
- any other agreed launch requirements have been satisfied.
4. Monthly Care Plans
4.1 Mandatory Care Plan
Every DuoLim website must have an active Care Plan.
The available Care Plans are:
- Starter — £39/month
- Growth — £89/month
- Premium — £149/month
The Client selects their Care Plan as part of the website quotation/order process.
The Care Plan begins when the website goes live.
The Care Plan provides the ongoing hosting, maintenance and support services described for the selected plan.
4.2 Care Plan billing
Care Plan fees are charged monthly at the rate specified in the Client's quotation/order.
The first monthly Care Plan payment is included with the final 50% website build payment before launch.
Future Care Plan payments will be charged according to the agreed monthly billing arrangement.
DuoLim may suspend services where a payment is overdue, subject to any rights the Client has under applicable law.

The AI Website Chatbot is currently offered at £29/month, in addition to the selected Care Plan.
The chatbot is not included in the £39, £89 or £149 Care Plan prices.
Unless otherwise agreed, the chatbot is treated as a separate optional service and may be cancelled separately from the main Care Plan.
Third-party AI, software or hosting services may be required to provide the chatbot.
DuoLim cannot guarantee that third-party services will always be available, uninterrupted or unchanged.
9. Additional Work
The monthly Care Plan only includes the services specifically stated for the selected plan.
Work outside the included services may be charged separately.
Examples include:
- new pages outside the included allowance;
- major design changes;
- website redesigns;
- complex functionality;

DuoLim will confirm the estimated cost with the Client before carrying out chargeable additional work.
Unless otherwise agreed, the current standard additional-work rate is £50/hour.
DuoLim may update its standard additional-work rate for future work, but will confirm the applicable rate before chargeable work begins.
10. Client Responsibilities
The Client agrees to provide information, content, images, logos, business details and other materials required to provide the services.
The Client is responsible for ensuring that they have the necessary rights and permissions to use any content they provide to DuoLim.
The Client must not knowingly provide content that:
- infringes another person's intellectual-property rights;
- is unlawful;
- is misleading or fraudulent; or
- breaches applicable laws or regulations.
The Client is responsible for checking business-critical information displayed on their website, including prices, contact information, opening hours, legal statements and other factual information.
DuoLim may rely on information supplied by the Client when creating or updating the website.
11. Third-Party Services
DuoLim may use third-party services, software and platforms when building, hosting, maintaining or providing functionality for a website.
These may include website platforms, hosting providers, analytics services, payment providers, AI services, email services, domain providers and other technology providers.
Third-party services may have their own:
- terms and conditions;
- privacy policies;
- fees;
- limitations;
- availability requirements; and
- technical restrictions.
DuoLim is not responsible for failures, outages, changes or discontinuation of third-party services that are outside DuoLim's reasonable control.
Where a third-party service requires a separate fee, DuoLim will inform the Client where reasonably practicable before the cost is incurred.
12. Domains
Where DuoLim manages or assists with a domain for the Client, the domain remains subject to the terms and policies of the relevant domain registrar.
The Client remains responsible for providing accurate registration information where required.
Domain costs are only included where specifically stated in the Client's quotation or Care Plan.
13. Hosting and Website Availability
DuoLim will take reasonable steps to keep hosted websites available and functioning.
However, continuous or uninterrupted availability cannot be guaranteed.
The website may occasionally become unavailable due to:
- maintenance;
- software updates;
- hosting-provider issues;
- security issues;
- third-party service failures;
- technical faults; or
- circumstances outside DuoLim's reasonable control.
DuoLim will make reasonable efforts to restore affected services where possible.
14. Backups
Where a Care Plan includes backups, DuoLim will make backups according to the frequency stated in the relevant plan.
Backups are intended as a safeguard and are not a guarantee that every piece of website data can always be restored.
The Client should retain copies of any important information or content they cannot afford to lose.
15. SEO and Analytics
Where analytics or SEO services are included in a Care Plan, DuoLim will provide the services described for that plan.
SEO recommendations and work are intended to improve search visibility but DuoLim does not guarantee:
- a particular Google ranking;
- a particular number of visitors;
- a particular number of enquiries;
- a particular conversion rate; or
- any specific commercial result.
Analytics information may be affected by tracking configuration, consent settings, browser restrictions, third-party platforms and other factors.
16. Intellectual Property and Website Content
Unless otherwise agreed in writing, the Client retains ownership of content, branding, photographs, logos and other materials supplied by the Client.
DuoLim retains ownership of its own pre-existing materials, processes, tools, templates, systems, know-how and reusable components.
Where third-party software, assets, fonts, images, plugins or other materials are used, ownership remains with the relevant third party and may be subject to separate licence terms.
The specific ownership and usage rights relating to the completed website may be set out in the Client's quotation or agreement.
17. Website Handover and Ownership
DuoLim's Care Plans are based on DuoLim continuing to host, maintain and support the website.
The Client's business content, including content, logos, photographs and other materials supplied by the Client, remains the Client's property unless otherwise agreed.
DuoLim retains ownership of its pre-existing materials, systems, templates, processes, reusable components and other proprietary materials.
The website is provided as a hosted and maintained service while the Client has an active Care Plan.
If the Client wishes to move their website to another provider after their Care Plan ends, DuoLim may offer a website handover or migration where technically and commercially practical.
Any work required to prepare, transfer, recreate or assist with a website handover may be charged separately at DuoLim's applicable additional-work rate or at a separately agreed fixed price.
DuoLim does not guarantee that every part of a website can be transferred to another hosting provider, particularly where the website relies on third-party platforms, services, software or systems.
18. Cancellation of a Care Plan
The Client may request cancellation of their Care Plan at any time, subject to any applicable statutory cancellation rights.
Unless otherwise agreed, cancellation will take effect at the end of the current paid billing period.
The Client remains responsible for any outstanding amounts due before the cancellation takes effect.
Because the Care Plan provides the hosting and ongoing maintenance required to keep the website online, cancellation will result in DuoLim's hosting, maintenance and ongoing support services ending.
Following the end of the Care Plan, DuoLim may keep the website available for a period of up to 30 days to allow the Client reasonable time to make alternative arrangements.
After this period, DuoLim may take the website offline.
Once the Care Plan has ended, DuoLim is no longer responsible for hosting, maintaining, updating, securing, backing up or supporting the website.
If the Client wishes to continue using the website through another provider, they should contact DuoLim before the website is taken offline to discuss whether a handover or migration is possible.
Any handover or migration work may be charged separately.
Cancellation of the Care Plan does not transfer ownership of DuoLim's proprietary systems, templates, processes or reusable components to the Client.
Nothing in these Terms removes or limits any rights the Client has under applicable law.
19. Suspension for Non-Payment
If an amount owed to DuoLim remains unpaid, DuoLim may suspend relevant services after giving reasonable notice where appropriate.
This may include:
- website hosting;
- maintenance;
- support;
- editing services; or
- other ongoing services.
DuoLim may restore services once outstanding amounts have been paid, subject to any reasonable restoration work required.
20. Cancellation of Website Projects
If the Client cancels a website project after work has started, DuoLim may be entitled to retain or charge amounts reasonably reflecting work already completed, costs incurred and commitments made, subject to applicable law.
Any refund will be considered based on:
- work completed;
- payments already made;
- third-party costs incurred;
- expenses incurred; and
- the Client's legal rights.
Where the Client is a consumer, applicable statutory cancellation and refund rights will take precedence over anything in these Terms that cannot legally override those rights.
21. Consumer Cancellation Rights and Refunds
DuoLim will comply with applicable consumer protection legislation.
Where the Client is a consumer and purchases services online or through another distance-selling method, statutory cancellation rights may apply.
Nothing in these Terms is intended to remove or restrict any legal right that cannot lawfully be excluded.
Where required, DuoLim will provide the Client with the information necessary to exercise any applicable cancellation rights.
If the Client requests that DuoLim begins providing services during an applicable cancellation period, the Client acknowledges that specific legal rules may apply to cancellation and payment for services already provided.
Any refund due to the Client will be handled in accordance with applicable law and the circumstances of the cancellation.
22. Liability
DuoLim will provide its services with reasonable care and skill.
To the extent permitted by law, DuoLim will not be responsible for losses caused by matters outside its reasonable control, including failures of third-party platforms, hosting providers, domain registrars, software providers, internet services or other external systems.
DuoLim is not responsible for loss caused by inaccurate, incomplete or unlawful information or content supplied by the Client.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Where the Client is a consumer, nothing in these Terms affects statutory rights that cannot legally be excluded.
23. Events Outside Our Control
DuoLim will not be responsible for delay or failure to perform its obligations where the cause is outside its reasonable control.
This may include:
- major technical failures;
- hosting-provider outages;
- internet failures;
- cyber incidents;
- natural disasters;
- government action;
- widespread software or platform outages;
- third-party service failures; or
- other circumstances that DuoLim could not reasonably prevent.
DuoLim will make reasonable efforts to resume affected services when possible.
24. Changes to Care Plans
DuoLim may make reasonable changes to its Care Plans, including changes to pricing, included services or third-party technology.
Where a change materially affects an existing Client's service, DuoLim will provide reasonable notice.
Changes will not normally apply retrospectively to services that have already been paid for.
25. Changes to These Terms
DuoLim may update these Terms from time to time.
The version applicable to a particular project or service will generally be the version accepted by the Client at the time the relevant agreement was entered into, unless a later change is required by law or otherwise agreed.
Where a change materially affects an ongoing service, DuoLim will provide reasonable notice where appropriate.
26. Communication
The primary method of communication for website support is email.
The Client should provide accurate contact information and notify DuoLim if their contact details change.
DuoLim will normally use the email address provided by the Client for important service communications, invoices, notices and support matters.
27. Entire Agreement
The agreement between DuoLim and the Client consists of:
- these Terms & Conditions;
- the accepted website quotation/order;
- any agreed written variations; and
- any other documents expressly incorporated into the agreement.
If there is a conflict between these Terms and a specific written quotation, the specific quotation will take precedence for the particular commercial details of that project, unless it expressly states otherwise.
28. Governing Law
These Terms are governed by the laws of Scotland, unless applicable law requires otherwise.
Any dispute will be handled by the appropriate courts and dispute-resolution processes applicable under the law.
